1. Acceptance of these Terms

Where you access this website on behalf of an organisation, you represent that you have authority to bind that organisation, and references to “you” are to that organisation.

2. Relationship to Services Agreements

These Terms govern use of this website only. They do not govern the provision of engineering, infrastructure, maintenance or consultancy services by CodeVortex. Those services are supplied exclusively under a separately executed services agreement, statement of work or order form. In the event of any inconsistency between these Terms and an executed services agreement, the services agreement prevails in respect of the services it covers.

Nothing on this website constitutes an offer capable of acceptance. Descriptions of our services, methodologies and service levels are provided for information only and are subject to the terms of an executed agreement.

3. Permitted Use

We grant you a limited, non-exclusive, non-transferable and revocable licence to access and display this website for your own internal business or personal information purposes. You may print or download extracts for those purposes provided that no modification is made and all proprietary notices are retained.

4. Prohibited Conduct

You must not:

• use this website in any manner that is unlawful, fraudulent, or that has any unlawful or fraudulent purpose or effect;

Information that you transmit to us through an unsolicited enquiry is not treated as confidential and is not subject to any obligation of confidence unless and until a written non-disclosure agreement has been executed between us. You are accordingly asked not to transmit confidential, proprietary or personally sensitive information by way of unsolicited enquiry.

You warrant that any material you submit is accurate, is not defamatory or unlawful, and does not infringe the rights of any third party.

The parties irrevocably submit to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria. If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force. No failure or delay by us in exercising any right constitutes a waiver of that right. These Terms, together with our Privacy Policy, constitute the entire agreement between us in respect of your use of this website. A person who is not a party to these Terms has no right to enforce any of their provisions.
